These Terms and Conditions (the “Terms”) apply to the Bizimply Referral Program (the “Program”). The Program is administered by Bizimply Ireland Limited (in Ireland), is referred to as Bizimply herein.

Bizimply offers you the opportunity to participate in its Program. By participating in the Program per the terms below, you: (i) agree to be bound by these Terms and Bizimply’s Privacy Statement located at https://www.bizimply.com/privacy/; (ii) understand and agree that you are responsible for ensuring that the Referrer has expressed an interest in learning more about Bizimply and has agreed that their contact details can be provided to Bizimply for the purpose of being contacted by a Bizimply representative in relation to Bizimply products and services; and (iii) confirm that any such contact details (related to the Referrer), including but not limited to personal information, are business contact details and relate to and are connected to the business that you refer to Bizimply. Bizimply reserves the right to amend or terminate the Program at any time, for any reason.

Program Eligibility

Who is Eligible to Participate?

Active employees of an existing Bizimply customer,  consultants, investors, and friends of these individuals, who refer a business located in their country of residence (must be located in either United Kingdom, or Ireland) to Bizimply  through the online referral form or in writing, including by email, to a Bizimply Account Executive.

Who is Not Eligible to Participate?

• Employees of Bizimply technical integration and strategic partners with existing referral programs, including immediate family and household members;
• Bizimply employees within the sales organization, including immediate family and household members;
• Employees of an authorized Bizimply reseller, including immediate family and household members;
• Individuals who are under 18 years old.

Referral Requirements

Subject to these Terms, for each Qualified Referral submitted by Referrer, Referrer will receive one Bonus Payout described below. A “Qualified Referral” is a business that:

• is referred to Bizimply by Referrer either through the online referral form, or in writing, including by email to a Bizimply Account Executive;
• is located in the Referrer’ country of residence (must be located in either United Kingdom or Ireland);
• is either in the retail, care, hospitality or production industries employing at least 10 employees.
• is not an existing lead in the Bizimply system; and
• enters into a Merchant Agreement Initial Order Form with Bizimply, and has been live, on the Bizimply platform for at least seven days.

*Verbal referrals will not be accepted. A business group or corporate entity owned by a franchise group that owns another business or corporate entity that has already been a Qualified Referral or an existing Bizimply customer will not be considered a Qualified Referral. Bizimply reserves the right, in its sole discretion, to determine the original lead source. Exceptions may be made, in Bizimply’s sole discretion, if the referral has not been contacted by Bizimply for at least six (6) months. Bizimply reserves the right to and will determine, in its sole discretion, whether a business is a Qualified Referral

*Redemption of the prepaid gift card or virtual credit card (as applicable) may be subject to additional terms, conditions, and restrictions of such third-party issuer(s). Referrer shall be responsible for contacting the third-party issuer(s) directly for any questions or issues with the redemption or use of the gift card or virtual card (as applicable). Bizimply is not responsible if the gift card or the virtual card (as applicable) is lost, stolen, destroyed, or used without permission. If the gift card or the virtual card (as applicable) is lost or stolen, it will not be replaced. Bizimply is not affiliated with the third-party issuer(s) and the third-party issuer(s) has no involvement in the design, production, execution, or distribution of the Program and the Bonus Payouts.

General Terms

Bizimply will determine, in its sole discretion, whether a referral is a Qualified Referral eligible for a Bonus Payout and Bizimply reserves the right to disqualify any Referrer at any time from participation in the Program for any reason including but not limited to Bizimply’s good faith belief that Referrer has violated these Terms. Subject to the Terms herein, there is no limit to the number of referrals a Referrer can submit or eligible Bonus Payouts a Referrer may receive (except in the case of the limits applicable to the Bonus Payouts for a Business Group as set forth above), while the Program is in effect. Referrer shall be solely responsible for any tax reporting and/or payment obligations in respect to any Bonus Payout received under the Program.

You expressly understand and agree that the Program is provided on an “as is” and “as available” basis and Bizimply expressly disclaims all warranties, conditions, and terms (collectively, “Promises”) of any kind, whether express or implied by statute, common law, or custom, including, but not limited to, warranties as to products or services offered through the use of the Program, implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, and non-infringement.

To the fullest extent possible by law, Bizimply (including its parent, subsidiaries, affiliates, and any vendors and service providers) maximum liability arising out of or in connection with the Program, regardless of the cause of action (whether in contract, tort, breach of warranty, or otherwise), shall not exceed  €100.
